PLATFORM TERMS & CONDITIONS

These Platform Terms & Conditions (“Platform Terms”) govern access to and use of the Grand software platform, including any websites, applications, APIs, and related services (the “Platform”).
The Platform is provided by Grand Intelligence Group Limited, a company incorporated in Ireland (“Grand”, “we”, “us”, “our”).
By creating an account, accessing, or using the Platform, you (“Customer”, “you”, “your”) agree to be bound by these Platform Terms. If you do not agree, you must not access or use the Platform.
1. DEFINITIONS
In these Platform Terms, unless the context requires otherwise:
- “Authorised User” means any individual granted access to the Platform under your account.
- “Confidential Information” means any non-public information disclosed by either party to the other in connection with the Platform, including business data, technical information, pricing, and customer data, but excluding information that is publicly available, independently developed, or rightfully obtained from a third party without restriction.
- “Customer Data” means data you or your Authorised Users input, upload, or generate through use of the Platform.
- “Grand AI” means the automated, machine-assisted, and artificial intelligence functionality incorporated into the Platform.
- “Grand Materials” means the Platform, its software, models, algorithms, analytical systems, documentation, and all outputs, insights, signals, and scores generated through operation of the Platform. Grand Materials do not include Customer Data or any outputs that directly reproduce Customer Data in identifiable form.
- “Product Terms” means additional terms governing specific products, features, or services available through the Platform.
2. PLATFORM STRUCTURE AND HIERARCHY
The Platform provides access to a range of software tools and services. Certain features or services may be governed by additional Product Terms. Product Terms apply only when you enable or use the relevant product.
In the event of conflict between these Platform Terms and any Product Terms, the Product Terms prevail only with respect to the relevant product to which they apply. No Product Terms modify or replace these Platform Terms except as expressly stated for that product.
Product Terms are accepted digitally in-app. Use of the Platform without enabling a product does not bind you to that product’s Product Terms.
3. NATURE OF THE PLATFORM
The Platform provides tools that enable organisations to access information, analyse entities, monitor changes, manage workflows, and support commercial decision-making.
Depending on the products and features you enable, the Platform may support:
- system integrations and data handling
- monitoring, signalling, or change detection
- analytical, statistical, or AI-assisted functionality
- workflow orchestration and automation
- operational, financial, or compliance-adjacent processes
The Platform:
- provides analytical and informational tools
- does not determine facts or authoritative records
- does not make decisions on behalf of Customers
- does not provide financial, legal, or regulatory advice
- does not act as a regulated authority, lender, insurer, guarantor, or intermediary
Customers remain solely responsible for how they interpret and use Platform outputs and for all decisions made using the Platform.
4. ARTIFICIAL INTELLIGENCE AND AUTOMATED FUNCTIONALITY
4.1 Grand AI
The Platform incorporates Grand AI across multiple products and features. Grand AI may support:
- analysis, prioritisation, or ranking
- generation or summarisation of content
- detection of patterns, trends, or changes
- orchestration of workflows or actions
- user prompts, nudges, or suggestions
4.2 Nature of AI Outputs
You acknowledge and agree that:
- Grand AI operates using statistical and probabilistic methods
- AI-assisted outputs may be incorrect, incomplete, misleading, or may change over time without notice
- Grand AI does not define truth, provide advice, or make authoritative determinations
- Grand AI does not replace human judgement or professional responsibility
Any human review or expert input provided through the Platform is informational only and does not constitute validation, approval, or endorsement.
Grand does not guarantee the accuracy, completeness, or suitability of any AI-assisted output.
4.3 Model Changes
Grand may modify, retrain, reweight, replace, or remove models, features, signals, or functionality at any time, with or without notice.
4.4 Use of Data to Improve the Platform
Grand uses Platform activity data, including anonymised and aggregated patterns derived from Customer interactions, to train and improve Grand AI models, analytical systems, and overall Platform performance.
This processing is carried out on the basis of Grand’s legitimate interest in improving its products and services. You may request further information about this processing or exercise your rights under applicable data protection law by contacting us at the address in Section 25.
Grand applies technical measures to anonymise data used for model training. Where data cannot be fully anonymised and remains personal data, it is processed in accordance with the Privacy & Data Protection Policy.
5. REGULATED SERVICES
Certain services accessible through the Platform may constitute regulated financial, payment, lending, insurance, or other regulated services.
Where such services are made available:
- they may be provided by licensed affiliates of Grand or authorised third-party partners
- they will be governed by separate agreements, disclosures, and regulatory documentation
- these Platform Terms do not govern those regulated services unless expressly stated
You are responsible for determining whether your use of the Platform engages regulatory requirements in your jurisdiction.
6. ACCOUNT REGISTRATION AND AUTHORISED USERS
To access the Platform you must create an account and provide accurate, complete information, which you must keep updated.
You are responsible for:
- managing access to your account
- designating and managing Authorised Users
- ensuring credentials are kept confidential and not shared outside your organisation
- all activity occurring under your account, whether or not authorised by you
6.1 Authority to Bind
If you use the Platform on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Platform Terms and any applicable Product Terms.
7. ACCESS METHODS
Customers may access the Platform through user accounts, Authorised Users, APIs or integrations, or through authorised partners, resellers, or distributors. All such access remains subject to these Platform Terms.
8. LICENCE
Subject to these Platform Terms, Grand grants you a limited, non-exclusive, non-transferable licence to access and use the Platform for your internal business purposes during the period of access. This licence may not be sublicensed except where access is provided through authorised partner, reseller, or distributor arrangements as described in Section 7.
No rights are granted to copy, modify, distribute, commercialise, reverse engineer, or create derivative works from the Platform or its underlying technology, except as expressly permitted.
9. USAGE LIMITS, FAIR USE, AND AUDIT
Your use of the Platform is subject to usage limits and fair-use principles, which may vary by product, feature, or plan.
Grand may:
- monitor usage to ensure compliance
- throttle, restrict, or suspend access for excessive or abusive use
- audit usage records on reasonable notice to verify compliance
Audits will be conducted in a manner designed to minimise disruption and will not occur more than once in any twelve-month period unless Grand has reasonable grounds to suspect a breach.
10. PRICING AND BILLING
10.1 Pricing
Fees, pricing plans, credit bundles, and usage costs are made available through the Grand website and in-app interfaces and are incorporated into these Platform Terms by reference as displayed at the time of purchase or acceptance.
Pricing may change from time to time. Changes apply prospectively to new purchases or renewals unless expressly stated otherwise.
10.2 Credits
Certain products and features are accessed using prepaid credits. Credits:
- represent a prepaid right to access Platform features
- are not currency, stored value, or a cash equivalent
- have no monetary value outside the Platform
- cannot be withdrawn, transferred, or exchanged for cash
- expire twelve (12) months after issuance unless otherwise specified
- are non-refundable except where required by law
Credit expiry periods, usage rules, and allocation logic are determined by Grand and may vary by product, plan, or promotion. Grand may modify these prospectively as part of product or pricing changes.
10.3 Subscriptions
Some products are offered on a subscription basis. Unless otherwise stated at the time of purchase:
- subscriptions renew automatically unless cancelled
- subscriptions are for the term selected (monthly, quarterly, annual, or multi-year)
- subscriptions may be cancelled effective at the end of the current term
- early cancellation does not terminate payment obligations for the committed term
Where an annual or multi-year subscription is billed monthly, the subscription remains a commitment for the full term.
10.4 Billing Authorisation
By enabling a product and accepting the applicable Product Terms, you authorise Grand to charge applicable fees using the payment method associated with your account. Billing may occur in advance, at renewal, or based on usage, as described at the time of purchase. All prices are displayed exclusive of applicable taxes unless stated otherwise.
10.5 Payment Failure
If payment fails, is declined, or is reversed, Grand may:
- retry the payment using the same or an updated payment method
- notify you of the failure
- apply dunning or recovery processes
- suspend or terminate access to the relevant product or feature
Grand may charge interest on overdue amounts at the rate of 2% per annum above the European Central Bank base rate, or the maximum rate permitted by law, whichever is lower.
10.6 Free Access and Promotions
Grand may offer free accounts, trials, or promotional credits at its discretion. Free access may be modified or withdrawn at any time and does not create any ongoing entitlement.
Grand may restrict, suspend, or terminate access where it reasonably determines that usage constitutes pricing abuse, arbitrage, or gaming of experiments or promotions.
10.7 Invoiced Billing
For certain customers, Grand may offer invoicing arrangements at its discretion. Where invoicing applies:
- invoices are payable within fourteen (14) days unless otherwise specified
- pricing commitments, ramp schedules, or minimum spend may apply
- Grand may suspend services for non-payment
11. AUTOMATION AND CUSTOMER RESPONSIBILITY
The Platform may enable you to configure automation, rules, thresholds, or workflows. Where automation is enabled:
- actions may occur automatically according to your configuration
- automated actions may trigger credit consumption or paid services
- you design, configure, and control any automation
- Grand does not validate or approve your configurations
- you remain responsible for all outcomes and compliance
Where supported by the Platform, Customers may configure spending limits, permissions, or approval requirements for automated actions.
Grand may maintain records of automated activity for security and audit purposes.
12. INTELLECTUAL PROPERTY
All intellectual property in the Platform, including software, architecture, models, algorithms, interfaces, analytical systems, documentation, and all Grand Materials, remains the exclusive property of Grand or its licensors.
Grand retains ownership of all analytics, signals, scores, insights, and outputs generated through operation of the Platform.
No rights are granted to copy, modify, commercialise, resell, or create derivative works from Grand Materials except as expressly permitted.
Customer Data remains the property of the Customer. You grant Grand a limited licence to use Customer Data as necessary to provide the Platform services and as described in Section 4.4.
13. CONFIDENTIALITY
Each party agrees to keep confidential and not disclose to any third party any Confidential Information received from the other party, except:
- to employees, contractors, or advisers who need to know and are bound by confidentiality obligations at least as protective as these
- as required by law, regulation, or court order, provided the disclosing party is given reasonable prior notice where legally permitted
- with the prior written consent of the disclosing party
This obligation of confidentiality survives termination of these Platform Terms for a period of three (3) years.
14. PROHIBITED USE
You must not:
- interfere with the integrity or security of the Platform
- introduce malicious code or malware
- reverse engineer, decompile, or attempt to extract models, logic, or source code
- scrape, harvest, or bulk-extract Platform data except through authorised APIs
- use the Platform for unlawful purposes
- resell, sublicence, or commercialise access to the Platform without Grand’s prior written consent
- use the Platform in a manner that infringes the rights of any third party
15. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Grand, its affiliates, officers, directors, and employees from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- your breach of these Platform Terms
- your use of the Platform in violation of applicable law
- Customer Data that infringes the rights of any third party
- misuse of the Platform, including use in a manner not authorised by these Platform Terms
16. SUSPENSION AND TERMINATION
16.1 Suspension
Grand may suspend access immediately where use:
- breaches these Platform Terms
- creates legal, regulatory, or reputational risk
- threatens system integrity or security
- constitutes abuse or exploitation of the Platform
Where practicable, Grand will notify you before or promptly after suspension and provide an opportunity to remedy the breach.
16.2 Termination by Customer
You may terminate your use of the Platform at any time by closing your account. Termination does not relieve you of payment obligations for committed subscription terms.
16.3 Termination by Grand
Grand may terminate access with thirty (30) days’ written notice, or immediately where suspension grounds exist and the breach is not remedied within a reasonable period.
16.4 Effect of Termination
Upon termination, access to the Platform ceases. Provisions intended to survive termination (including Sections 12, 13, 15, 18, 19, and 20) shall survive.
17. DATA PROTECTION
Personal data is processed in accordance with the Privacy & Data Protection Policy, available at Grand’s website.
Depending on context, Grand may act as:
- a Data Controller (for its own processing purposes, including operation and improvement of the Platform)
- a Data Processor (where processing Customer personal data on your instructions)
Where Grand acts as a Data Processor, the Data Processing Addendum applies and is incorporated into these Platform Terms by reference.
Grand processes data in accordance with applicable data protection legislation, including the General Data Protection Regulation (EU) 2016/679 and the UK General Data Protection Regulation, as applicable.
18. DISCLAIMERS
The Platform is provided “as is” and “as available.”
To the maximum extent permitted by law, Grand disclaims all warranties, whether express, implied, or statutory, including implied warranties of accuracy, completeness, merchantability, fitness for a particular purpose, and non-infringement.
Grand expressly disclaims any duty of care owed to Customers or to any third party in connection with the Platform, its outputs, or any decisions made using the Platform.
Grand does not warrant that the Platform will be uninterrupted, error-free, or free from harmful components.
19. LIMITATION OF LIABILITY
19.1 Exclusions
To the maximum extent permitted by law, Grand is not liable for:
- indirect, incidental, special, or consequential loss
- loss of profit, data, reputation, opportunity, or goodwill
- decisions or actions taken using the Platform
- loss arising from reliance on AI-assisted outputs
19.2 Third-Party Reliance
No third party acquires any rights against Grand as a result of access to, use of, or reliance on any outputs generated through the Platform, whether shared by a Customer or otherwise.
19.3 Aggregate Cap
Where liability cannot be excluded by law, Grand’s aggregate liability in respect of all claims arising under or in connection with these Platform Terms is limited to the total fees paid by you to Grand in the twelve (12) months immediately preceding the event giving rise to the claim.
19.4 Exceptions
Nothing in these Platform Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
20. ELECTRONIC COMMUNICATIONS
You consent to receive communications from Grand electronically, including via email, in-platform notifications, or other electronic means.
Notices, disclosures, invoices, updates, and other communications provided electronically satisfy any legal requirement that such communications be in writing, except where applicable law requires a specific form of notice.
21. FORCE MAJEURE
Neither party shall be liable for failure or delay in performing obligations under these Platform Terms where such failure or delay results from circumstances beyond that party’s reasonable control, including natural disaster, pandemic, government action, war, terrorism, cyberattack, or failure of third-party infrastructure.
The affected party must notify the other promptly and use reasonable efforts to mitigate the impact. If the event continues for more than ninety (90) days, either party may terminate these Platform Terms on written notice.
22. ASSIGNMENT
You may not assign or transfer these Platform Terms without Grand’s prior written consent.
Grand may assign or transfer these Platform Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganisation, or sale of assets. Grand will notify you of any such assignment.
23. GENERAL PROVISIONS
23.1 Entire Agreement
These Platform Terms, together with any applicable Product Terms, the Privacy & Data Protection Policy, and the Data Processing Addendum, constitute the entire agreement between you and Grand regarding use of the Platform and supersede all prior agreements, understandings, and representations.
23.2 Severability
If any provision of these Platform Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties’ original intent.
23.3 Waiver
Failure by either party to enforce any provision of these Platform Terms does not constitute a waiver of that provision or any other provision. No waiver is effective unless made in writing.
23.4 No Third-Party Rights
These Platform Terms do not confer any rights on any third party. Nothing in these Platform Terms is intended to or shall create any rights enforceable by any person who is not a party to them.
23.5 Export Control
You agree to comply with all applicable export control and sanctions laws and regulations in connection with your use of the Platform. You must not use the Platform in any manner that would cause Grand to violate any applicable export control or sanctions laws.
23.6 Anti-Bribery
You agree to comply with all applicable anti-bribery and anti-corruption laws, including the Criminal Justice (Corruption Offences) Act 2018 (Ireland) and the Bribery Act 2010 (UK), in connection with your use of the Platform.
24. GOVERNING LAW AND JURISDICTION
These Platform Terms are governed by the laws of Ireland.
The courts of Ireland have exclusive jurisdiction, unless required otherwise by mandatory provisions of applicable law.
Before initiating legal proceedings, the parties agree to attempt to resolve disputes in good faith through negotiation for a period of not less than thirty (30) days.
